Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Tokoo (the “Platform”), a store-builder service operated by Kokiyo Studio Digital Solutions (“Tokoo”, “we”, “us” or “our”). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Platform.

1. Who may use Tokoo

You must be at least 18 years old and able to form a legally binding contract to use the Platform. If you register on behalf of a business, you represent that you are authorised to bind that business to these Terms, and “you” refers to that business.

2. Your account

When you register, you agree to provide accurate and complete information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at support@tokoo.my if you suspect any unauthorised use.

3. Your store and content

Tokoo lets you build and operate an online store. You retain ownership of the products, images, text, and other materials you upload (“Your Content”). You grant us a worldwide, non-exclusive licence to host, store, display, and process Your Content solely to provide and improve the Platform. You are solely responsible for Your Content and your store, including that:

  • you have the rights to publish and sell everything you list, and it does not infringe any third party’s rights;
  • your listings, prices, stock, and fulfilment information are accurate and not misleading;
  • your store complies with all laws that apply to your business, including Malaysian consumer-protection, taxation, and sales-and- service-tax obligations.

4. Acceptable use

You agree not to use the Platform to:

  • sell or promote goods or services that are illegal in Malaysia, or any weapons, drugs, counterfeit, or stolen items;
  • post content that is fraudulent, defamatory, obscene, or that infringes intellectual-property or privacy rights;
  • transmit malware, attempt to gain unauthorised access to the Platform, or interfere with its normal operation;
  • resell, sublicense, or replicate the Platform itself without our written consent.

We may investigate suspected violations and suspend or remove content or stores that breach these Terms.

5. Orders, payments and transactions with your customers

The contract of sale for any order placed through your store is between you and your customer. Tokoo is not a party to that sale and is not the seller, merchant of record, or payment holder. You are responsible for fulfilment, delivery, refunds, returns, warranties, and customer support for your own orders. Where payments are processed through a third-party payment provider, your use of that provider is also subject to the provider’s own terms.

6. Fees and billing

Tokoo is offered on a subscription basis. The fees, billing cycle, and any features included in each plan are shown at sign-up and in your account. Fees are charged in advance and, except where required by law, are non-refundable. We may change our fees on reasonable prior notice; continued use after a change takes effect means you accept the new fees. If your payment fails or your subscription lapses, we may suspend or downgrade your store.

7. Availability and changes

We work to keep the Platform available but do not guarantee it will be uninterrupted or error-free. We may modify, add, or remove features, and may perform maintenance that temporarily affects availability. We will give reasonable notice of material changes where practicable.

8. Suspension and termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your account if you breach these Terms, if required by law, or if your use poses a risk to the Platform or other users. On termination, your right to use the Platform ends and your store may be taken offline. We may retain and delete data in accordance with our Privacy Policy and applicable law.

9. Intellectual property

The Platform, including its software, design, and the Tokoo name and branding, is owned by us and our licensors and is protected by intellectual-property laws. Except for the limited right to use the Platform under these Terms, no rights are granted to you.

10. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Platform will meet your requirements or that any defects will be corrected.

11. Limitation of liability

To the fullest extent permitted by law, Tokoo will not be liable for any indirect, incidental, special, or consequential loss, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Platform. Our total aggregate liability arising out of or relating to these Terms will not exceed the total fees you paid to us in the three (3) months before the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold Tokoo harmless from any claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your store, your breach of these Terms, or your violation of any law or third-party right.

13. Governing law

These Terms are governed by the laws of Malaysia, and you submit to the exclusive jurisdiction of the courts of Malaysia in respect of any dispute arising out of or in connection with them.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “last updated” date above and, for material changes, take reasonable steps to notify you. Your continued use of the Platform after changes take effect means you accept the updated Terms.
